Associate/Sr.Associate Corporate Compliances

The incumbent will be responsible for managing the Corporate compliances along with all the secretarial activities. Work closely with the legal & regulatory team on regulatory, policy & other legal issues. 

Responsibilities include, but are not limited to: 

  • End to End Annual filings of group Companies  
  • Drafting of allied documents including annual return, board report and notes of financial statements 
  • Filing of all the relevant e-forms with ROC  
  • Filing of monthly and quarterly reports with DOT and TRAI  
  • Filing of AGR with CCA & all compliances matters related to SACFA  
  • Compliances of FEMA pertaining to FDI including Advance reporting form, FCGPR and filing of annual return with RBI and allotment of shares & its allied compliances thereof  
  • Incorporation of new entity, drafting its MOA & AOA, Applying for PAN & TAN, Appointment and Resignation of Directors anything pertaining to secretarial work 
  • Applying for different registrations, as & when required   
  • Drafting and vetting of all legal documents including but not limited to Non-Disclosure Agreement (NDA), Memorandum of Understanding (MOU).  
  • Preparing Agenda, Notices, Minutes for Board meetings, general meetings of all group companies 
  • All tasks related to Preparing Board Resolutions  
  • Maintenance of statutory registers in accordance with Companies Act  
  • Drafting of various communications letters/correspondences with various authorities including but not limited to SIDCO, Tax authority, TRAI, DOT, Banks.  
  • Ensuring timely intimation of compliance to DOT pertaining to blocking instructions issued by DOT 
  • Research with respect to applicable laws /rules as and when required  
  • All other assignments delegated by Reporting Manager 

 

Desired Candidate: 

  • Qualification:  CS along with strong credentials 
  • Relevant post-qualification experience of at least year with corporate sector 
  • Should be well versed with the new 'Companies Act 2013' 
  • Analytical skills - should be able to use judgment, analyse facts and draw logical conclusions 
  • Understanding of Trade Marks, Intellectual property & Patents would be desirable 
  • Experience from working in an international environment specifically Singapore, will be an added advantage 
  • Should be very comfortable working in an individual contributor role 
  • A natural ability to handle a lot on the plate  
  • Willingness and ability to engage and resolve routine and unique issues 
  • Working knowledge of MS Office is must  
  • English language skills to business standard, with excellent communication skills 
  • Should be excited to be a part of start-up environment
